These Publisher Terms & Conditions (“Terms”) govern participation in the Madservs publisher network and the use of Madservs’ advertising platform, services, technology, campaigns, advertising materials, reporting systems and related services (“Services”).
By registering for a Publisher account, accessing the Services, submitting traffic, displaying advertisements, or otherwise participating in the Madservs publisher network, you (“Publisher”) acknowledge that you have read, understood and agreed to be bound by these Terms.
Madservs reserves the right to reject, suspend or terminate any Publisher account, property, placement or traffic source that does not comply with these Terms or that Madservs reasonably determines may expose Madservs, its advertisers, partners or users to financial, legal, compliance, security or reputational risk.
01. Publisher Eligibility & Account Registration
Publishers must provide complete, accurate and current information when registering for or maintaining a Madservs account.
Publishers must:
- Be legally authorized to enter into this agreement;
- Provide accurate personal, business, contact and payment information;
- Maintain accurate and up-to-date account information;
- Use the account only for legitimate advertising and monetization activities;
- Maintain the confidentiality and security of account credentials; and
- Comply with all applicable laws, regulations and these Terms.
Madservs may request additional information or documentation at any time for identity verification, business verification, payment verification, compliance review, Know Your Customer (“KYC”), Anti-Money Laundering (“AML”) or other reasonable verification purposes.
Madservs reserves the right to reject any registration or restrict account access at its discretion.
Publishers may not create or operate multiple accounts for the purpose of circumventing account restrictions, payment thresholds, suspensions, bans, compliance reviews or other Madservs policies.
The Publisher is responsible for all activities conducted through its account, including activities performed by its employees, agents, contractors or other authorized parties.
02. Traffic Ownership & Origin Requirements
Publishers are fully responsible for all traffic, inventory, websites, applications, placements and other properties submitted to or monetized through Madservs.
Madservs only accepts traffic originating directly from the Publisher’s own approved websites, applications, platforms or other properties expressly accepted by Madservs.
Madservs does not accept paid, brokered, purchased, resold, redirected or third-party supplied traffic, including traffic originating from:
- Purchased advertising campaigns;
- Traffic brokers or traffic exchanges;
- Resold traffic;
- Purchased redirects;
- Sub-publishers;
- Affiliate networks;
- Advertising networks;
- Media buyers;
- Traffic suppliers; or
- Any other third-party source that is not directly owned or controlled by the Publisher
Publishers must not conceal, misrepresent or disguise the ownership, acquisition method or original source of traffic.
The Publisher may not avoid responsibility for prohibited or invalid traffic by claiming that such traffic originated from an employee, contractor, third party, supplier or other external source.
Madservs may request information regarding traffic ownership, acquisition methods, placements, domains, applications, referrers or other traffic-source information at any time.
Traffic originating from prohibited sources may be rejected and may be subject to the enforcement and financial adjustment provisions set out in these Terms.
03. Invalid & Fraudulent Traffic
Publishers must not generate, encourage, manipulate or submit fraudulent, artificial, misleading or invalid traffic.
Prohibited activity includes, but is not limited to:
- Bot, crawler, emulator, script or other automated non-human traffic;
- Click farms or artificially generated user activity;
- Fake or artificially generated impressions, clicks, leads, conversions or actions;
- Auto-clicking or automated engagement;
- Forced clicks or forced redirects;
- Auto-refreshing or auto-reloading intended to artificially increase advertising activity;
- Incentivized clicks or engagement unless expressly approved by Madservs;
- VPN, proxy or other methods used to intentionally misrepresent user geography or traffic origin;
- Geo spoofing;
- Device spoofing;
- User-agent spoofing;
- Domain spoofing;
- Referrer manipulation or falsification;
- Click injection;
- Click spamming;
- Cookie stuffing;
- Pixel stuffing;
- Ad stacking;
- Hidden, invisible or non-viewable advertisements;
- Misleading iframe implementations;
- Duplicate or recycled activity intended to artificially increase earnings or advertiser costs;
- Malware-generated traffic;
- Traffic generated without genuine user intent;
- Unauthorized manipulation of tracking or attribution systems; and
- Any other activity that Madservs reasonably determines to be fraudulent, artificial, misleading, abusive or inconsistent with genuine user activity.
Madservs may use internal systems, advertiser feedback, third-party fraud detection systems and other available information to assess traffic validity and quality.
04. Content & Placement Restrictions
Publisher properties and placements must not contain, promote, distribute or knowingly link to prohibited content, including:
- Adult or sexually explicit content, unless expressly permitted by Madservs for a specific advertising category;
- Child sexual abuse material or exploitation;
- Hate speech or content promoting discrimination, harassment or violence;
- Terrorism or violent extremist content;
- Illegal goods, services or activities;
- Fraudulent, deceptive or misleading activities;
- Malware, spyware, viruses or malicious software;
- Phishing or credential theft;
- Unauthorized copyrighted material, piracy, torrents or illegal downloads;
- Content that infringes intellectual property rights;
- Deceptive or unauthorized auto-download scripts;
- Content or activities that violate applicable laws or regulations; or
- Any other content that Madservs reasonably considers harmful to users, advertisers, partners or the reputation of the platform.
Madservs may reject any website, application or placement that it determines to be unsuitable for the network.
05. No Spam or Unsolicited Promotion
Publishers must not use spam, unsolicited bulk communications, deceptive promotional methods or unauthorized messaging to generate advertising activity through Madservs.
This includes unauthorized or unsolicited promotion through email, SMS, messaging services, forums, chat services, social media comments, direct messages, automated messaging systems or similar channels.
Publishers remain responsible for ensuring that their promotional activities comply with applicable marketing, privacy and anti-spam laws.
06. Madservs Ad Code & Placement
Publishers may only use Madservs advertising code, tags, scripts, tracking links or other implementation methods as provided or expressly authorized by Madservs.
Unless expressly authorized, Publishers must not:
- Modify or manipulate Madservs advertising code;
- Obscure or interfere with advertising functionality;
- Alter tracking parameters to manipulate reporting;
- Reverse engineer Madservs technology;
- Implement Madservs advertising materials in unauthorized placements; or
- Use Madservs code or advertising materials inconsistently with their intended implementation.
Where Madservs requires individual approval of websites, applications, domains or placements, advertising code must not be deployed on unapproved properties without prior authorization.
07. Campaign & Placement Compliance
Publishers must comply with all campaign-specific requirements communicated through the Madservs platform or directly by Madservs.
Requirements may include geographic targeting, device targeting, operating systems, traffic types, placements, frequency limitations, conversion requirements, promotional restrictions, creative requirements or other advertiser-specific conditions.
Approval of a Publisher account or traffic source does not constitute permanent approval.
Madservs may modify, pause, restrict or discontinue campaigns or traffic acceptance at any time based on advertiser requirements, campaign availability, compliance, traffic quality, commercial considerations or other operational requirements.
Madservs does not guarantee the continued availability of any campaign, advertiser, rate, inventory or monetization opportunity.
08. Reporting & Statistics
Madservs’ tracking and reporting systems shall serve as the primary and authoritative basis for calculating impressions, clicks, conversions, valid actions, revenue, Publisher earnings and payout amounts.
Third-party tracking systems may be used by Publishers for reference but do not automatically override Madservs’ records.
If a Publisher believes there is a reporting discrepancy, the Publisher must notify Madservs within 7 calendar days of the relevant reporting period and provide reasonable supporting evidence.
Discrepancies not reported within this period may be considered accepted.
Madservs will review reasonable disputes in good faith. Where discrepancies cannot be reconciled, Madservs’ validated records will be used for payment calculation.
Madservs may correct reporting errors, technical errors, duplicate records or other inaccuracies discovered before or after the relevant reporting period.
09. Earnings & Conditional Revenue
Publisher earnings are calculated based on valid traffic and advertising activity recorded and accepted by Madservs.
Dashboard earnings may be preliminary and remain subject to traffic validation, fraud review, advertiser validation, reporting reconciliation, technical corrections, campaign requirements, advertiser disputes, refunds, chargebacks and compliance review.
Displayed, estimated or credited earnings do not constitute a final or unconditional payment obligation until the relevant traffic and earnings have been validated.
Where the corresponding advertiser transaction is legitimately disputed, reversed, refunded, charged back, determined to be invalid, or remains unpaid in circumstances directly relating to the relevant Publisher traffic, the corresponding Publisher earnings may be subject to adjustment under Section 13.
10. Payout Thresholds
Minimum withdrawable balances vary by payout method.
Balances below the applicable minimum threshold will automatically roll over to the following payout cycle until the minimum payout requirement is reached.

Madservs may add, remove or modify supported payment methods and minimum payout thresholds from time to time.
11. Payment Schedule
Eligible and validated Publisher balances are normally processed weekly on Friday.
The weekly cut-off is Thursday, 12:00 AM UTC. Eligible revenue recorded after the cut-off will normally be included in the following payout cycle.
The stated schedule represents Madservs’ standard payout processing cycle and does not guarantee that every payment will be released or received on a specific date.
Payment may be delayed or placed on hold where:
- Traffic or advertiser validation is pending;
- Fraud, quality or compliance review is pending;
- An advertiser dispute, refund or chargeback is pending;
- Account, KYC or identity verification is incomplete;
- Payment information is incomplete or incorrect;
- Technical or payment-provider issues occur;
- A scheduled payment date falls on a relevant public holiday; or
- Other reasonable circumstances require additional review.
Processing time after Madservs releases a payment depends on the applicable payment provider, intermediary bank, blockchain network or other third-party service.
Madservs does not guarantee third-party processing or settlement times.
12. Payment Details, Fees & Taxes
Publishers are responsible for ensuring that all payment information provided to Madservs is complete and accurate.
Madservs will not be responsible for losses, delays or failed payments resulting from incorrect, outdated or incomplete payment information supplied by the Publisher.
Changes to payment information may be subject to additional verification and may delay the next payout.
Transaction fees, payment-provider fees, intermediary bank charges, blockchain network fees, currency conversion charges and similar third-party costs may be deducted from the Publisher’s payout where applicable.
Publishers are solely responsible for determining and fulfilling taxes, duties, declarations or other financial obligations applicable to their earnings.
Madservs may request tax or payment documentation where reasonably required.
13. Financial Adjustments, Chargebacks & Recovery
This section governs financial adjustments relating to Publisher earnings.
Madservs may withhold, deduct, reverse or adjust earnings where the relevant traffic or revenue involves:
- Invalid or fraudulent activity;
- Prohibited traffic sources;
- Traffic quality issues;
- Campaign non-compliance;
- Advertiser rejection or dispute;
- Refunds or chargebacks;
- Duplicate activity;
- Reporting or technical errors;
- Breach of these Terms; or
- Other legitimate reconciliation requirements.
Adjustments may be made before or after a payout has been processed if the relevant issue is discovered later.
Where an advertiser or other paying party legitimately rejects, disputes, refunds or charges back traffic for reasons relating to invalid traffic, traffic quality, campaign compliance, fraud or other Publisher-related activity, Madservs may apply the corresponding adjustment to the Publisher’s earnings.
If an adjustment exceeds the Publisher’s unpaid balance, Madservs may:
- Create a negative account balance;
- Offset the amount against current or future Publisher earnings; and/or
- Request repayment of amounts previously paid.
Closure, suspension or termination of an account does not eliminate outstanding payment or repayment obligations owed to Madservs.
14. Investigation & Cooperation
Madservs may investigate any Publisher account, traffic source, placement or activity where fraud, invalid traffic, unusual activity, advertiser complaints or policy violations are suspected.
During an investigation, Madservs may temporarily suspend traffic or account access, restrict campaign access or place pending payouts on hold while the matter is reviewed.
Madservs may request supporting information including:
- Website or application URLs;
- Traffic-source information;
- Domain or placement information;
- Referrer information;
- Acquisition methods;
- Analytics reports;
- Traffic-platform reports;
- Screenshots;
- Campaign data; or
- Other evidence reasonably necessary to validate traffic.
Publishers must provide requested information within the timeframe specified by Madservs, normally within 5 business days, unless otherwise stated.
Failure or refusal to provide reasonable supporting information may result in Madservs making a determination based on the information available.
15. Suspension, Enforcement & Termination
Madservs may take appropriate enforcement action where a Publisher violates these Terms, generates invalid traffic, creates material financial or compliance risk, or otherwise abuses the Services.
Depending on the nature and severity of the issue, Madservs may:
- Issue a warning;
- Reject or exclude specific traffic;
- Disable individual placements or traffic sources;
- Restrict campaign access;
- Suspend traffic or account access; or
- Permanently terminate the account.
Financial consequences arising from such violations will be handled in accordance with Section 13 – Financial Adjustments, Chargebacks & Recovery.
Madservs may take immediate action without prior notice where reasonably necessary to protect advertisers, users, partners, the platform or Madservs from fraud, abuse, legal exposure, security threats or material financial loss.
Where reasonably appropriate, Madservs may provide the Publisher with an opportunity to clarify or provide supporting evidence before making a final determination.
16. Account Closure
Publishers may request account closure subject to completion of any pending investigations, payment reconciliation or outstanding obligations.
Upon closure or termination:
- The Publisher must stop using Madservs Services and advertising materials where applicable;
- Valid outstanding earnings remain subject to final validation and applicable payout requirements;
- Any financial adjustments or outstanding obligations remain subject to Section 13; and
- Provisions intended by their nature to survive termination shall remain in effect.
Termination does not prevent Madservs from investigating activity that occurred before account closure.
17. Privacy, Cookies & Legal Compliance
Publishers must comply with all applicable laws, regulations and industry standards relating to their websites, applications, traffic acquisition, advertising activities, user data, privacy practices, cookies, tracking technologies, marketing communications and business operations.
Publisher websites and applications must maintain a clear and accessible privacy policy where required by applicable law.
Where cookies, advertising identifiers, tracking technologies or personal data are used, Publishers are responsible for providing required notices, consent mechanisms, opt-out mechanisms or other legally required controls.
Publishers must not use Madservs Services in a manner that causes Madservs or its advertisers to violate applicable laws or regulations.
18. Intellectual Property
Publishers represent and warrant that they own, control or have obtained all necessary rights and permissions for the websites, applications, content and other properties used in connection with Madservs.
Publishers must not use Madservs Services in connection with content that infringes copyrights, trademarks, privacy rights, publicity rights or other intellectual property or proprietary rights.
Madservs and its licensors retain all rights, title and interest in Madservs trademarks, branding, software, technology, documentation, advertising materials, reporting systems and related intellectual property.
No ownership rights are transferred to the Publisher under these Terms.
19. Confidentiality
Publishers must not disclose confidential or non-public information obtained through Madservs without authorization.
Confidential information may include non-public campaign information, advertiser information, pricing arrangements, platform data, technical information, fraud-detection methods, security measures, commercial arrangements and other information reasonably understood to be confidential.
This obligation does not apply to information publicly available through no breach of these Terms or information required to be disclosed by law.
20. Indemnification
To the extent permitted by applicable law, the Publisher agrees to defend, indemnify and hold harmless Madservs, its affiliates, officers, directors, employees, representatives, agents, partners and service providers from claims, damages, losses, liabilities, penalties, costs and reasonable legal expenses arising from or relating to:
- The Publisher’s use of Madservs Services;
- The Publisher’s breach of these Terms;
- Fraudulent or invalid traffic generated through the Publisher’s account;
- The Publisher’s violation of applicable laws or regulations;
- Intellectual property infringement;
- Privacy or data-protection violations;
- Content or traffic supplied by the Publisher;
- Activities of the Publisher’s employees, agents or contractors; or
- Third-party claims resulting from the Publisher’s activities.
21. Limitation of Liability
Madservs provides its Services on an “as available” basis.
Madservs does not guarantee continuous platform availability, any specific advertising demand, minimum fill rate, minimum CPM, CPC, CPA, revenue or earnings, continued campaign availability, advertiser participation, campaign performance or error-free operation.
To the maximum extent permitted by applicable law, Madservs will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, including loss of revenue, profits, data, goodwill, anticipated savings or business opportunities arising from use of or inability to use the Services.
To the maximum extent permitted by applicable law, Madservs’ aggregate liability arising from or relating to these Terms or the Publisher Services shall not exceed the Net Fees actually paid to the Publisher by Madservs during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
22. No Guarantee of Revenue
Participation in Madservs does not guarantee any minimum level of revenue, earnings or profitability.
Publisher earnings may vary based on traffic geography, traffic quality, user engagement, advertiser demand, campaign availability, device type, placement, seasonality, market conditions and compliance with campaign requirements.
Madservs may change campaign availability, pricing, rates or monetization opportunities at any time based on commercial, operational or advertiser requirements.
23. Changes to These Terms
Madservs may amend, update or replace these Terms from time to time to reflect changes in platform operations, payment procedures, advertising requirements, fraud-prevention practices, legal or regulatory requirements or business practices.
Material updates will be made available through the Madservs platform, website or another reasonable communication channel.
Unless otherwise stated, continued use of Madservs after updated Terms become effective constitutes acceptance of the revised Terms.
If a Publisher does not agree with revised Terms, the Publisher must discontinue use of the Services and may request account closure, subject to outstanding payment, investigation, adjustment or legal obligations.
24. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Madservs to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.
The Publisher may not transfer or assign its rights or obligations under these Terms without prior written consent from Madservs.
These Terms, together with applicable campaign-specific requirements, policies or written agreements between Madservs and the Publisher, constitute the agreement governing the Publisher’s participation in the Madservs network.
In the event of a conflict between these Terms and a separately executed written agreement between Madservs and the Publisher, the separately executed agreement shall prevail to the extent of that conflict.
Provisions relating to financial adjustments, repayment obligations, intellectual property, confidentiality, indemnification, limitation of liability and other provisions which by their nature are intended to survive shall remain effective following account closure or termination.
Publisher Acknowledgement
By registering for or maintaining a Madservs Publisher account, submitting traffic, using Madservs Services or receiving Publisher earnings, the Publisher confirms that they have read, understood and agreed to be bound by these Publisher Terms & Conditions.
